Intellectual Property Contract

This agreement (“Agreement”) is entered into this _____ day of _____________, 20__, by and between ___________________________ (“Owner”) and ___________________________ (“User”).

WHEREAS, Owner owns all rights in and to certain intellectual property (“IP”), as described in Exhibit A attached hereto, and desires to license such IP to User, and User desires to obtain a license to use such IP, subject to the terms and conditions set forth herein.

NOW, THEREFORE, the parties agree as follows:

1. License. Owner hereby grants to User a non-exclusive, non-transferable license to use the IP for the purposes set forth in Exhibit A, subject to the terms and conditions of this Agreement.

2. Ownership. Owner retains all right, title, and interest in and to the IP, including all copyright, patent, and trademark rights.

3. Restrictions. User may not use the IP for any purpose other than those set forth in Exhibit A, or in any manner that would diminish the value or reputation of the IP.

4. Term. This Agreement shall commence on the date first above written and shall continue in full force and effect until terminated by either party upon notice to the other party.

5. Termination. Either party may terminate this Agreement upon written notice to the other party if the other party fails to comply with any material term or condition of this Agreement.

6. Indemnification. User agrees to defend, indemnify, and hold harmless Owner from and against any claims, damages, liabilities, costs, and expenses arising out of or in connection with User`s use of the IP.
